IP Rights

1. Ownership and License

These terms and conditions ("Terms") apply to all holders of Alphalist, Unbothered Wolves, and Unbothered Lycans NFTs ("UW NFTs"). By purchasing UW NFTs during mint sales or on the secondary market, you become the owner of the UW NFT, including its associated art. Unbothered Wolves grants you a global license to use, copy, and display the purchased artwork for personal, non-commercial purposes and for the creation of derivative works, subject to compliance with these Terms.

2. Personal Use License

For as long as you own the UW NFT and comply with all applicable terms, you are granted a personal, non-exclusive, non-transferable, and revocable license to use, copy, and display the purchased artwork. Personal use includes setting the artwork as your profile picture, showcasing it on various platforms, selling the UW NFT on the secondary marketplace, producing merchandise based on the UW NFT, and creating derivative artworks for personal display.

3. Commercial Use License

For as long as you own the UW NFT and comply with these Terms, you are granted an unlimited, global license to use, copy, and display the purchased artwork for the creation of derivative works for commercial purposes. Commercial use encompasses the production and sale of merchandise products (e.g., T-Shirts, Hoodies) featuring the UW NFT or its derivatives. You may operate a third-party website facilitating the general usage or sale of UW NFTs, ensuring cryptographic verification of each owner's rights.

4. Unbothered Wolves Rights

Unbothered Wolves retains the right to produce and sell items based on the artwork of any UW NFT. Detailed information on benefits for UW NFT holders related to the apparel brand will be provided in a separate document.

5. Intellectual Property

This agreement does not authorize the use of Unbothered Wolves' trademark, logo, websites (unbotheredwolves.com, xforge.studio), or any other intellectual property beyond the rights expressly granted herein. Licensees are expressly prohibited from using the Unbothered Wolves name in a manner that may cause confusion regarding the source or origin of licensed merchandise.

6. Indemnification

You agree to indemnify and hold Unbothered Wolves and its affiliates, employees, advertisers, licensors, suppliers, and partners harmless from any claims, liabilities, losses, damages, suits, judgments, litigation costs, and reasonable attorneys' fees arising from your breach of these Terms or the design, manufacture, sale, or distribution of any licensed merchandise.

7. Reservation of Rights

Unbothered Wolves reserves the right to modify these Terms at any time. The company may freely transfer, assign, or delegate these Terms without your permission. Failure to enforce any right or provision of these Terms will not constitute a waiver. These Terms are for the sole benefit of the parties and do not confer any third-party beneficiary rights.

8. Licensing to Third Parties

Nothing in these Terms prohibits Unbothered Wolves from granting licenses on any Unbothered Wolves-owned intellectual property, including but not limited to any UW NFT, to third parties under separate terms and conditions.

By purchasing and owning a UW NFT, you acknowledge and agree to abide by these Terms and any subsequent changes made by Unbothered Wolves.
